Coddi Terms of Service

These Terms are an agreement between you and Wild Standard Labs, LLC. Please read them. If you live in the United States, section 13 says that most disputes between us will be resolved by individual arbitration, not in court or as part of a class action, unless you opt out within 30 days.

1. Who we are

Coddi is provided by Wild Standard Labs, LLC, a Delaware limited liability company (file number 10715480), 131 Continental Dr, Suite 305, Newark, DE 19713, USA ("Coddi", "we", "us", "our"). Email: admin@coddi.io. Website: https://coddi.io.

By creating a Coddi account or using Coddi, you agree to these Terms. Our Refund and Cancellation Policy (coddi.io/refunds) is part of these Terms. Our Privacy Policy (coddi.io/privacy) explains how we handle personal data.

2. What Coddi is

Coddi consists of the Coddi app for Mac (Apple Silicon, macOS 14.2 or later), the website coddi.io and the web version at app.coddi.io (together, the "Service").

Mac app and web version. Coddi is available as a Mac app and as a web version at app.coddi.io. The features available in each version may differ. The web version is for your account and purchases only: in it you can sign in, create an account, confirm your email address, reset your password and buy Pro. It does not record or transcribe audio, and it does not show your notes, except notes you have shared by link yourself: each of them opens on its own page at app.coddi.io (section 5). Recording, transcription in the cloud or on your Mac, notes, AI chat and the audio retention settings are available in the Mac app.

With the app you can:

record conversations you choose to record: your microphone and, when you allow it, the sound of the other people on your call as it plays on your Mac;
turn a recording into a transcript, either in the cloud through our speech-recognition provider or on your Mac with a model you download;
get AI-generated notes and titles, and ask an AI chat about your notes;
share a note with other people by link or by email invitation;
let an outside AI app you use read your notes and transcripts through Coddi's connector (MCP). This access is read-only, and you can revoke it in the app's settings under "Connected AI".

Coddi has a Free plan and a paid Pro plan (section 8). We keep developing Coddi and may add, change or remove features.

3. Your account and age

You must be at least 18 years old to use Coddi.
You can sign up with an email address and password, or with Google. Use an email address you control, keep your sign-in details to yourself, and tell us at once if you think someone else is using your account.
You are responsible for what happens under your account.
If you use Coddi on behalf of a company or other organization, you confirm that you are allowed to accept these Terms for it.

Coddi does not join your meeting as a bot, so the other people in a conversation may not know that you are recording it. Telling them is your responsibility.

Before you record, tell everyone in the conversation that it is being recorded and transcribed. Where the law requires their consent, get it before you record.
Recording laws differ between countries and states. Some US states, for example California, Florida, Pennsylvania and Washington, require the consent of everyone in the conversation. In the European Union, the United Kingdom and many other countries, data-protection law may require you to inform people and to have a lawful reason to record them. In some places the announcement needs to be on the recording itself, so a simple habit is to say at the start of the recording that you are recording.
Do not record anyone secretly, and do not record where recording is prohibited.
We cannot know where you are, whom you talk to or what they agreed to, so complying with these laws is your responsibility, not ours. Any reminders the app shows do not replace this responsibility. Recording laws vary by jurisdiction and by the circumstances of the communication. Some jurisdictions require the consent of all parties in certain circumstances. The examples in these Terms are not exhaustive. Before recording, you must determine which laws apply and provide any required notices and obtain any required consents.
If someone you recorded asks you to delete a recording or transcript they are in, please respond to them. If they contact us, we may pass their request on to you. If someone you recorded contacts us about their personal data, we will assess the request under the data-protection laws that apply to our processing. Where the relevant processing is carried out on behalf of a user who acts as controller, we may refer the request to that user and assist as required by law. Where Coddi is responsible for responding, we will handle the request directly.

5. Your content

Your recordings, transcripts, notes, folders, chat questions and the AI answers you receive ("your content") belong to you. As between you and Coddi, you retain any rights you hold in your content. This does not give you ownership of personal data or other rights belonging to participants or third parties, and it does not replace any permissions or lawful basis required to record, process or share their information.
You give us permission to store, process, transmit to our service providers and display your content only to provide, secure and support the Service for you and for the people you choose to share with. This permission ends when your content is deleted from the Service, except for copies we keep for the limited time described in the Privacy Policy. We do not sell your content and do not use it for advertising.
You confirm that you have the rights and permissions needed to put your content into Coddi, including the speech of other people (section 4).
Sharing. You decide what to share and with whom. When you share a note by link, by default anyone who has the link can open it. For each note you can limit access to people you invite, choose whether the transcript is shown, or reset the link so the old one stops working. People who opened a note may already have copied it; resetting a link cannot recall those copies. Visitors to a shared note may be able to ask Coddi's AI questions about it.
If you send us ideas or feedback, we may use them without any obligation to you.

6. AI features

Transcripts, notes, titles, summaries and chat answers in Coddi are generated by AI (speech-recognition and language models). AI makes mistakes: it can mishear words, mix up speakers, miss things that were said, or state something wrong with confidence. Check anything important against the transcript or the recording before you rely on it.
AI output is not legal, medical, financial or other professional advice.
We do not use your content to train AI models, and we do not allow our AI providers to use it to train theirs.
Our AI providers are listed in the Privacy Policy. We may change providers.
AI features may have usage limits that depend on your plan.

7. Acceptable use

When you use Coddi, do not:

break the law, including laws on recording conversations, privacy and data protection;
record people secretly or where recording is prohibited;
upload or share content that is unlawful or that you have no right to use;
use Coddi to harass, threaten or harm anyone;
hack, overload or disrupt the Service, get around its security or usage limits, or try to open other people's notes or links;
copy the Service with automated tools, or decompile or reverse-engineer the app beyond what the law expressly allows;
resell access to Coddi or use it to build a competing service without our written permission;
present AI output as something a person actually said, where that would mislead someone.

To report content shared through Coddi that you believe is illegal, email admin@coddi.io.

8. Free and Pro plans, payment, tax, renewal and cancellation

Plans. The Free plan costs nothing. Pro costs US$20 per month or US$180 per year. The features and limits of each plan are described on our pricing page at coddi.io/pricing and are also shown in the app.

Changes to the Free plan. We may change the features and limits of the Free plan at any time without prior notice. Notes and transcripts you have already created stay in your account after such a change, and you can still open and read all of them, however old they are.

Changes to a paid Pro subscription. If we change the features or limits of Pro in a way that makes your paid subscription less favourable to you, we will email you at least 30 days before the change takes effect. The change then applies to every Pro subscription, including one in the middle of a period you have already paid for. If you do not agree, you can cancel before the change takes effect ("Cancellation" below) and ask us for a refund: we will refund the part of your current period that remains unused on the day the change takes effect, in proportion to the days left. The price of an existing subscription is covered by "Price changes" below.

Launch price for the yearly plan. The first 100 yearly Pro subscriptions purchased by 27 November 2026, 23:59 UTC, are charged a launch price of US$144 per year instead of US$180. A subscription bought at the launch price keeps that price of US$144 per year at each renewal for as long as that subscription continues without interruption; as stated under "Price changes" below, a later change to our advertised prices does not change it. If the subscription ends, a new subscription is charged at the regular price. The offer ends when the first 100 yearly subscriptions have been purchased at the launch price or when the deadline passes, whichever comes first; after that, the checkout shows the regular price. The launch price does not apply to the monthly plan. The checkout shows whether the launch price applies before you pay.

Tax. Prices do not include tax. Any applicable sales tax, VAT or GST is added on top of the price at checkout. The total price payable by consumers, including VAT and other applicable taxes where required by law, will be shown before the order is placed. For purchases in jurisdictions where applicable sales tax is added separately, the tax and the total amount payable will be shown before payment is confirmed.

Who sells and who takes payment. We sell Coddi Pro and remain your contracting party for the Service. Purchases are processed through Stripe Managed Payments: Link, LLC, a Stripe company, acts as merchant of record — the checkout shows "Sold through Link, LLC". Link, LLC charges your payment method, calculates and collects applicable taxes, sends receipts and provides payment support. The payment is also subject to the terms of Link, LLC. The checkout may show the price in your local currency.

Renewal. Pro is a subscription. It renews automatically for the same period — another month or another year — until you cancel, and each period is charged at its start. Before you pay, the checkout shows the amount, the billing period and that the subscription renews.

Cancellation. You can cancel at any time through Link, LLC or by emailing admin@coddi.io from your account email. To avoid the next charge, cancel before the renewal date. Cancellation takes effect at the end of the period you have already paid for: Pro stays active until then, and your account then moves to the Free plan. Your notes and transcripts stay in your account, and you can still open and read all of them; features that are part of Pro only stop working, and the limits of the Free plan apply. Cancelling does not by itself refund a payment (section 9).

Failed payments. If a renewal payment fails, Pro may be paused or end until the payment goes through.

Price changes. A change to our advertised prices applies to new purchases. It does not change the price of a subscription you already have, including a subscription at the launch price ("Launch price for the yearly plan" above).

Availability. Pro can be bought only where Stripe Managed Payments supports the purchase and the law allows it.

9. Refunds

If you ask within 14 days of your first Pro payment, we refund it in full, no questions asked. The details — what counts as the first payment, how to ask, what happens to Pro after a refund or a payment dispute, refunds by Link, LLC and the legal right of withdrawal for consumers in the European Union and the United Kingdom — are in our Refund and Cancellation Policy (coddi.io/refunds).

10. Ending the agreement

You can stop using Coddi at any time. To end a Pro subscription, cancel it (section 8). To delete your account, email admin@coddi.io from your account email. What happens to your data after that is described in the Privacy Policy.
We may suspend or close your account if you seriously or repeatedly break these Terms, if the law requires it, or if your account puts the Service or other people at risk. Where it is reasonable, we will warn you first and give you a chance to export your notes.
If we decide to stop offering Coddi, we will tell you in advance and give you time to export your notes.
Sections 5 (for content that still exists), 6, 11, 12, 13 and 16 continue to apply after this agreement ends.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE EXTENT THE LAW ALLOWS, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY THAT TRANSCRIPTS, NOTES OR AI ANSWERS ARE ACCURATE OR COMPLETE, THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT IT IS FIT FOR A PARTICULAR PURPOSE.

This section does not affect any rights you have as a consumer that cannot be excluded under the law that applies to you.

12. Limitation of liability

TO THE EXTENT THE LAW ALLOWS:

(A) WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOST DATA OR LOSS OF GOODWILL, OR FOR DECISIONS YOU MAKE BASED ON A TRANSCRIPT, NOTE OR AI ANSWER;

(B) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF US$100 OR THE AMOUNT YOU PAID FOR CODDI IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM.

Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud, for intentional misconduct, or for death or personal injury caused by negligence. If you are a consumer in the European Union or the United Kingdom, this section does not affect your statutory rights.

Claims caused by your use. If someone brings a claim against us because you broke these Terms, a recording law or another person's rights, you will cover our reasonable costs and losses from that claim. This paragraph does not apply to consumers in the European Union or the United Kingdom.

13. Disputes and governing law

Talk to us first. If you have a dispute with us, email admin@coddi.io with a short description and what you are asking for. We will try to resolve it with you within 30 days, and so must you before starting a formal claim.

Governing law. These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. The Federal Arbitration Act governs the arbitration agreement below.

Arbitration for users in the United States. If you live in the United States, you and we agree to resolve any dispute relating to these Terms or the Service by binding individual arbitration, administered by the American Arbitration Association under its Consumer Arbitration Rules, instead of in court. The arbitration may take place by video or phone, or in the county where you live. Either of us may instead bring an individual claim in small claims court if it qualifies, and either of us may ask a court to stop the infringement or misuse of intellectual property.

No class actions. If you live in the United States, you and we may bring claims against each other only individually, not as a plaintiff or class member in any class, collective or representative action.

Opting out of arbitration. You can opt out of arbitration and the class-action waiver by emailing admin@coddi.io within 30 days after you first accept these Terms. Include your name, your account email and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.

Courts. Any dispute that does not go to arbitration will be decided by the state or federal courts located in Delaware, and you and we agree to their jurisdiction, except as stated in the next paragraph.

Consumers outside the United States. If you are a consumer living outside the United States, the arbitration agreement and the class-action waiver do not apply to you. You keep your right to bring a claim in the courts of the country where you live and the protection of the mandatory consumer laws of that country.

14. Sanctions and export

You confirm that you are not on a sanctions list of the United States, the European Union or the United Kingdom (such as the US Treasury's Specially Designated Nationals list) and are not acting for anyone who is. You may not use Coddi in breach of sanctions or export laws. We and our providers must follow these laws, so some features or payment methods may be unavailable in some places or to some people.

15. Changes to these Terms

We may update these Terms. For a material change, we will email you at least 30 days before it takes effect. Changes to the features and limits of the plans follow section 8 ("Plans"), and changes to prices follow "Price changes" in section 8. Other changes take effect on the date shown at the top of this page. If you do not agree with a change, stop using Coddi and cancel your Pro subscription before the change takes effect. If you keep using Coddi after that, the updated Terms apply to you.

16. Language

These Terms are written in English. Any translation is provided for convenience only; if it differs from the English version, the English version prevails.

17. General and contact

These Terms, including the Refund and Cancellation Policy, are the entire agreement between you and us about the Service.
If a court finds any part of these Terms invalid, the rest stays in force.
If we do not enforce a right, we have not waived it.
You may not transfer this agreement to someone else without our consent. We may transfer it as part of a sale or reorganization of our business, and we will tell you if we do.
We are not responsible for delays or failures caused by events outside our reasonable control.
We send notices to the email address of your account.
